Online Sales Agreement

Between Danalco Impressions Inc., also doing business under the name Station D, a corporation incorporated under Part IA of the Companies Act of Quebec (RLRQ, c. C-38) and currently governed by the Business Corporations Act of Quebec (RLRQ c. S-31.1), registered under the number (NEQ) 1145204286, with its head office located at 3321 Ave. de la Gare, Local 126, Mascouche Quebec J7K 0X7, Canada, hereinafter referred to as "Station D" or "we". Contractual Documents

This contract, the documents attached or incorporated by direct hyperlink, as well as the information regarding the products offered, constitute the entire agreement between Station D and the buyer.

Once the order is corrected, accepted, and paid, an electronic version of the contract and invoice will be generated and automatically sent by email. All documents can be printed or saved and archived in PDF format from the buyer’s browser at any time. A paper copy of the invoice and contract will accompany the delivered products.

The sale concluded under the terms of this contract constitutes a final sale. However, the buyer may return the sold product under certain circumstances described below.

Governing Law

By agreeing to purchase a product sold on our site, you agree that this sales contract shall be governed by the laws of Quebec and the applicable laws of Canada.

This contract is specifically subject to the Consumer Protection Act (RLRQ c. P-40.1) and the Act Respecting the Protection of Personal Information in the Private Sector (RLRQ c. P-39.1) and the Civil Code of Quebec.

In the event that your data is communicated or shared with suppliers or organizations having their servers outside of Quebec or Canada, the Personal Information Protection and Electronic Documents Act, LC 2000, c 5, shall apply.

Any dispute arising from this contract will be submitted to the courts of competent jurisdiction in the judicial district of Laval (Quebec).

Product Description

You will find on our site a description of the goods offered for sale, including a detailed description and the prices charged. The selected goods will appear on your order and invoice. A final version of your order and invoice will be generated once you have made your purchase choices, filled out your order, reviewed your order, chosen to accept and place the order after having the chance to make corrections or modifications, and made the payment. These completed steps will constitute your acceptance and consent to the terms of the contract, which will then be generated and can be archived or printed by you.

These documents will indicate any additional fees – such as fees for a special delivery method requested – that may be owed to a third party, if applicable, and the total amount you will need to pay, the currency used, and the estimated execution date of your order. These documents will also indicate the delivery method and the name of the carrier.

However, we cannot calculate customs or brokerage fees, which are not included in the contract.

Price

The prices shown and the taxes calculated from the shopping cart must be paid in full before the production or execution of your order begins.

The prices displayed on our site are in Canadian dollars, before taxes and shipping fees.

The total price is payable in full and in a single payment at the time of the order.

The goods and services sold are subject to applicable sales taxes, including the Canadian Goods and Services Tax (GST) and the Quebec Sales Tax (QST) at the rates in effect at the time of the sale.

All orders are payable in Canadian dollars only, but the website may display a converted price in another currency.

For any delivery outside Canada, customs formalities, potential fees, and local taxes are the responsibility of the buyer.

We may change the prices from time to time based on our costs.

Payment

Payments are made on the secure (https://) part of the seller's website, which will redirect the buyer to the secure website of the chosen credit card payment service provider.

Orders placed on our site must be paid by Visa, Mastercard, and American Express credit cards, as well as by Apple Pay, Google Pay, and Shopify, which have a policy allowing chargebacks.

The total invoice amount is only debited after the buyer's approval at the end of the checkout process.

We reserve the right not to complete the order and not to record or process any payment if the requested product or raw materials are out of stock, or if the order is incomplete or presents an unusual difficulty for the seller.

Right of Use

Subject to compliance with other terms of the contract, including the payment of any amounts due on your purchases, Station D and its third-party suppliers grant you a limited, non-exclusive, non-transferable license, without the right to sublicense, to access the Station D websites and services and use them for personal and non-commercial purposes. This usage right excludes the resale or commercial use of any Station D service or its content, product lists, descriptions, or prices, and any derivative use of any Station D service or its content, any use of data collection and extraction software tools. Station D and its third-party suppliers and other rights holders who grant you this license retain and reserve all rights not expressly granted to you herein. No Station D service or portion thereof may be reproduced, in whole or in part, copied, sold, resold, visited, or exploited for commercial purposes without the express written permission of Station D. You are not authorized to reproduce or use the trademarks, logos, or other proprietary information (including graphics and text, layout, and forms) of Station D and its third-party suppliers without express written permission from the rights holders. You are not authorized to use meta tags or any other "hidden text" using the name or trademarks of Station D and its third-party suppliers without the express written permission of Station D or its third-party suppliers. You must not misuse Station D Services. You may only use Station D Services in accordance with the law. The licenses granted by Station D will be terminated if you fail to comply with these terms.

Copyright on Products

The illustrations, photographs, and descriptions of the products displayed on the Station D website are subject to copyright. All content appearing on the Station D website or made available through it (such as textual and graphical elements, logos, icons, illustrations, audio or video clips, digital downloads, data compilations, and software, website architecture, site tree) is the property of Station D or its third-party suppliers, as applicable, and such content is protected by Canadian and international copyright laws. The compilation of all content appearing on the Station D website or made available through it is the exclusive property of Station D or its third-party suppliers and is protected by Canadian and international copyright laws. The buyer may in no circumstances infringe on the copyright by reproducing and commercializing it. Any violation of copyright will be subject to the remedies provided by law.

Shipping

Delivery fees depend on the delivery address and are calculated based on the postal code at the final step of the order. Deliveries within Canada for orders over $199 (excluding taxes) are free.

When customs fees are required by the buyer's country authorities, these fees must be borne by the buyer. The buyer is responsible for inquiring with the authorities of their country before placing the order.

Once payment for the order is received, the printing of wallpaper or a cutout currently takes 2 to 5 business days. The delivery time is then 2 to 7 business days for a shipment within Canada and 6 to 12 days for a shipment to the United States. Faster delivery services are offered at the final step of the order.

Please note that customs processing may take a few additional days. Station D is not responsible for delays caused by customs clearance or any issues related to the delivery service.

After placing an order, you will receive a tracking number by email once your product is printed and the shipping label is created. You can then track your order on the Canada Post website.

Currently, Station D offers delivery services within Canada and the United States only.

Choosing a different private carrier is possible in certain cases. Please contact us by email or phone to make arrangements. However, you will be responsible for the associated costs.

Liability in Case of Loss of Products

Station D will assume any loss of goods until the moment of delivery, meaning until the buyer takes possession of the goods. In the event of the buyer's absence at their residence or if no one is present at the address provided by the buyer, the delivery person will leave a card or another type of notice indicating another time when the delivery will be attempted again. After a certain number of attempts, the recipient will need to pick up the products at an address specified by the delivery service. It is your responsibility to go to the indicated address and take delivery of the products within a certain period. If you do not take possession within this time frame, you will be deemed to have refused to take possession of the products and will need to make new arrangements for delivery and bear the new delivery charges as well as any return fees Station D had to cover, if applicable. However, we will cover these new costs if we are certain that you are not responsible for the non-delivery during the first delivery attempt.

Returns

Station D accepts returns ONLY if the products are defective. If your product was damaged during shipping or has a manufacturing defect, send us a photo of the defective product to info@stationd.ca within 10 days of receiving the package. We will contact you to follow up.

We do not exchange or refund products if the colors or dimensions are not suitable. To ensure the exact colors of the wallpaper, you can order samples. Also, please measure the area to be covered before placing your order.

We cannot be held responsible if the mural does not adhere due to improper surface preparation or if it was not installed correctly. Be sure to read the instructions before applying the mural.

Cancellation of a Sale Due to Obvious Pricing Error

We may cancel a sale due to an obvious pricing error.

Termination

You can cancel the contract within seven (7) days of receiving the automatically generated printable copy that was sent to the email address you provided if we did not disclose all the information required by law, if we did not give you the opportunity to refuse or correct your order before the conclusion of the contract, did not send you a printable copy of your contract after your purchase, or if we omitted information required by law or if you notice upon receiving your credit card statement that we did not reveal the required information by law.

You can cancel the contract at any time before we have fulfilled our main obligation of delivering the ordered goods within 30 days of the date indicated in the contractual documents, such as the contract, your order, or your invoice.

We are presumed to have fulfilled our main obligation when we or our delivery service have attempted to deliver your order on the date indicated in the contract, on another date you would have agreed to in writing, or on the date stated in a notice we may send you within a reasonable period if we are unable to deliver your order due to circumstances within or outside of our control, or due to your actions or negligence.

When these circumstances justify it and it is your intention, you must send us a written notice of cancellation. The contract will then be canceled upon receipt of this notice. We will take the necessary steps to process the refund upon receipt of the goods delivered in the condition you received them. We will assume or reimburse you for reasonable delivery costs.

If for any reason you do not receive our refund, the law allows you to request a chargeback from your credit card issuer for all amounts paid under the contract, as well as the reimbursement of any fees charged to your account under the contract.

To complete your order, invoice, and purchase contract, you will need to provide us with certain personal information. This information must be accurate and complete.

This website, as well as those of our suppliers, is subject to applicable intellectual property laws. You must not infringe these laws or allow anyone using your equipment or identity with your consent to infringe these laws.

Protection of personal information

Station D takes all necessary security measures to ensure the protection of the personal information collected, used, and stored. Station D strives to ensure the confidentiality of your personal information during its transit on the Internet to our website, using the SSL (Secure Sockets Layer) protocol, which encrypts the information you enter. For example, Station D may only use the last 4 digits of your credit card number during the order confirmation, but will obviously transmit the full number to the credit card issuing company during payment. You must protect your password and not disclose it to anyone. You must protect your computer or smartphone from unauthorized access. If you use a shared computer, make sure to properly log out once your transaction is completed and ensure that you have erased sensitive information, such as your credit card number, expiration date, and CVV (Card Verification Value). You can find instructions for erasing these data in your browser’s online help and on the Internet, according to your browser version. There are also antivirus software programs that provide this functionality.

The information you provide to us must be up to date and accurate at the time you provide it. By doing so, you consent to us using this information for the purposes of managing your purchase, making decisions regarding your order, and for accounting purposes. Station D will ensure the destruction of this information as soon as it is no longer needed for the management of your file, or if its retention is no longer required by tax laws or other applicable laws. We will not use your data for personal purposes or for any other purposes than your purchase. We will not disclose it to anyone not employed by us without your consent, or unless we are legally required to do so by law or by a court decision. However, please note that you will need to provide personal information or we will need to do so in order to process your payment or deliver the products sold. All this information is necessary. Its collection, use, and sharing by persons employed by a credit card issuer, online payment services, delivery services, or third parties performing similar tasks is necessary to complete your purchase and fulfill our obligations. By completing your order and accepting the terms of sale, you consent to the collection of your personal information, its use, sharing, archiving, and destruction according to the conditions of third-party suppliers.

You can contact us at any time to verify the personal information we have collected and stored, and to correct or update it if it is incomplete, incorrect, outdated, replaced, inaccurate, or nonexistent. If you are a person with a disability, reasonable accommodations will be made, upon request, to allow you to exercise your right of access. We are also committed to deleting any information whose collection is not authorized by law. Upon request, you may access and obtain a copy of your file containing personal information, unless there is a serious and legitimate interest to the contrary or if the information could seriously harm a third party or any other legal obligation preventing us from allowing you to access it.

Station D takes reasonable measures to protect your data. However, we cannot guarantee at all times that intrusions or unauthorized access by malicious individuals will be prevented. Absolute protection against malware and malicious actors is impossible and beyond our control. Therefore, employees and officers of Station D cannot be held responsible for such acts.

Station D also cannot guarantee that our website, software, and the Internet network will always be free of defects, bugs, anomalies, deficiencies, or other issues.

Confidentiality

Station D does not provide, for free or for payment, your data to marketing companies or others. We only use your data to fulfill your purchase and to respond to your requests, and in some cases, to improve our service.

We use cookies to obtain certain information from your computer. These small "text" files are temporarily placed on your computer when you visit certain web pages. They are harmless and non-intrusive and cannot extract information from your computer other than what is necessary or useful to assess the volume and traffic on our website, and to improve our service. They are particularly useful, for example, to recognize you when you make new visits to our website.

The information provided or obtained through cookies allows us to open an account in your name, process your order, contact you, personalize our reports with you, and, if you allow us, send you personalized information about our website and products from time to time.

We have outsourced part of the transactional site to Shopify, which in turn works with third parties, notably for payment, delivery, order processing, performance analysis, accounting management, marketing, and online advertising. This includes, for example, banks issuing credit cards, online payment service providers, or delivery companies like Canada Post. As such, these companies have access to your personal information. To continue a transaction with us, you will be directed to the websites of these third parties, which have their own policies or are subject to different conditions and laws depending on the jurisdiction or country where they primarily conduct their business. Be sure to review them.

Children

We do not offer minors the ability to purchase our products online. We offer products intended for the general public, but we generally recommend that our products be purchased by adults. If you are under 18, we prefer that you seek the involvement of a parent or guardian.
