Online sales contract

Between Danalco Impressions inc., also doing business under the name Station D, a business corporation incorporated under Part IA of the Companies Act (Quebec) (CQLR, c. C-38) and now governed by the Business Corporations Act (Quebec) (CQLR c. S-31.1), registered under number (NEQ) 1145204286, with its head office at 3321 Ave. de la Gare, Suite 126, Mascouche, Quebec J7K 0X7, Canada, hereinafter referred to as “Station D” or “we”. Contractual documents

This contract, the documents attached as appendices or incorporated via direct hyperlink, as well as the product information provided, constitute the entire agreement between Station D and the buyer.

Once the order has been reviewed, accepted, and paid, an electronic version of the contract and the invoice will be generated and automatically sent by email. All documents may be printed or saved and archived in PDF format from the buyer’s browser at any time. A printed copy of the invoice and contract will accompany the delivered products.

The sale concluded under this contract is final. However, the buyer may return the product under certain circumstances described below.

Applicable law

By agreeing to purchase a good sold on our website, you agree that this sales contract is governed by the laws of Quebec and the applicable laws of Canada.

This contract is notably subject to the Consumer Protection Act (CQLR c. P-40.1), the Act respecting the protection of personal information in the private sector (CQLR c. P-39.1), and the Civil Code of Québec.

In the event that your data is disclosed or shared with providers or organizations with servers located outside of Quebec or Canada, the Personal Information Protection and Electronic Documents Act, SC 2000, c 5, will apply.

Any dispute arising from this contract will be submitted to the competent courts of the judicial district of Laval (Quebec).

Description of goods offered

You will find on our website a description of the goods offered for sale, including a detailed description and the listed prices. The selected items will appear on your order and your invoice. A final version of your order and invoice will be generated once you have finalized your purchase selections, completed your order, reviewed it, and chosen to proceed with the order after having had the opportunity to make corrections or modifications and complete payment. Once these steps are completed, it constitutes your acceptance and agreement to the terms of the contract, which will then be generated and can be archived or printed by you.

These documents will indicate any additional fees—such as charges for a special delivery method if requested—that may be owed to a third party, if applicable, as well as the total amount payable, the currency used, and the estimated fulfillment date of your order. These documents will also specify the delivery method and the name of the carrier.

However, we are unable to calculate customs or brokerage fees, which are not included in the contract.

Price

The prices shown and the taxes calculated in the shopping cart must be paid in full before production or fulfillment of your order begins.

The prices displayed on our website are in Canadian dollars, before taxes and shipping fees.

The total price is payable in full and in a single payment at the time the order is placed.

The goods and services sold are subject to applicable sales taxes, including the Canadian Goods and Services Tax (GST) and the Québec Sales Tax (QST), at the rates in effect at the time of sale.

All orders must be paid in Canadian dollars only, although the website may display a converted price in another currency.

For any delivery outside of Canada, the customs formalities, any applicable customs fees, and local taxes are the responsibility of the buyer.

We may adjust prices from time to time based on our cost of goods sold.

Payment

Payments are made through the secure (https://) section of the seller’s website, which will redirect the buyer to the secure website of the selected credit card payment service provider.

Orders placed on our site must be paid by Visa, Mastercard, and American Express credit cards, as well as through Apple Pay, Google Pay, and Shopify, all of which have a chargeback policy.

The total amount of the invoice will only be charged after the buyer approves the order at the end of the checkout process.

We reserve the right not to complete the order and not to process or accept a payment if the requested product or raw materials are out of stock, or if the order is incomplete or presents an unusual issue for the seller.

Right of use

Subject to compliance with the other conditions of the contract, including payment of any amount due on your purchases, Station D and its third-party providers grant you a limited, non-exclusive, non-transferable license, without the right to sublicense, to access Station D’s websites and services and those of its third-party providers for personal and non-commercial use. This right of use excludes any resale or commercial use of any Station D service or its content, product listings, descriptions, or prices, as well as any derivative use of any Station D service or its content, and any use of data mining, robots, or similar data gathering and extraction tools. Station D and its third-party providers and other rights holders granting this license retain and reserve all rights not expressly granted to you hereunder. No Station D service or any portion thereof may be reproduced, in whole or in part, copied, sold, resold, visited, or otherwise exploited for commercial purposes without the express written consent of Station D. You are not authorized to reproduce or use Station D’s trademarks, logos, or other proprietary information (including images, text, page layout, or forms) without the express written permission of the rights holders. You are not authorized to use meta tags or any other “hidden text” utilizing the name or trademarks of Station D or its third-party providers without their express written permission. You must not misuse Station D Services. You may use Station D Services only as permitted by law. The licenses granted by Station D will terminate if you fail to comply with these terms.

Product Copyright

The illustrations, photographs, and product descriptions featured on Station D’s website are subject to copyright. All content appearing on or made available through Station D’s website (such as text and graphic elements, logos, icons, illustrations, audio or video clips, digital downloads, data compilations, and software, as well as the site architecture and structure) is the property of Station D or its third-party suppliers, as applicable, and is protected by Canadian and international copyright laws. The compilation of all content appearing on or made available through Station D’s website is the exclusive property of Station D or its third-party suppliers and is protected by Canadian and international copyright laws. Under no circumstances may the buyer infringe on copyright by reproducing or commercializing this content. Any copyright infringement will be subject to legal recourse.

Shipping

Shipping fees depend on the delivery address and are calculated based on the postal code at the checkout stage. Deliveries within Canada for orders over $199 (excluding taxes) are free.

When customs fees are required by the authorities of the buyer's country, these fees must be borne by the buyer. The buyer is responsible for checking with the authorities of their country before placing an order.

Once payment for the order is received, the printing of wallpaper or a custom cut currently takes 2 to 5 business days. The shipping time is then 2 to 7 business days for delivery within Canada and 6 to 12 days for delivery to the United States. Faster delivery services are available at the checkout stage.

Please note that processing at customs may take a few extra days. Station D is not responsible for delays caused by customs clearance or any issues with the delivery service.

After placing an order, you will receive a tracking number by email when your product is printed and the shipping label is created. You can then track your order on Canada Post’s website.

Currently, Station D offers shipping services within Canada and the United States only.

In some cases, you may choose a private carrier. Please contact us by email or phone to make arrangements. However, you will be responsible for the associated costs.

Liability for loss of products

Station D will assume any loss of goods until delivery, meaning until the buyer takes possession of the goods. In case the buyer is not at home or no one is present at the address provided by the buyer, the delivery person will leave a card or other type of notification indicating another time when delivery will be attempted. After a set number of attempts, the recipient will need to pick up the goods at an address provided by the delivery service. It is your responsibility to go to the indicated address and pick up the goods within a certain time frame. If you do not take possession within this time frame, you will be considered to have refused to take possession of the products, and you will need to make new arrangements for delivery and bear the new shipping costs as well as any return shipping fees that Station D had to cover, if applicable. However, we will cover these new fees if we are certain that you are not responsible for the failure of delivery on the first attempt.

Returns

Station D accepts returns ONLY if the products are defective. If your product was damaged during shipping or has a manufacturing defect, please send us a photo of the defective product at info@stationd.ca within 10 days of receiving the package. We will get in touch with you for follow-up.

We do not exchange or refund products for color or size issues. To ensure you get the correct colors for your wallpaper, you can order samples. Additionally, please measure the area to be covered carefully before placing your order.

We cannot be held responsible if the mural does not adhere due to improper surface preparation or incorrect installation. Be sure to read the instructions before applying the mural.

Cancellation of a sale due to an obvious pricing error

We may cancel a sale due to an obvious pricing error.

Termination

You can cancel the contract within seven (7) days of receiving the automatically generated printable version sent to the email address you provided if we have not disclosed all the information required by law, if we have not given you the opportunity to reject or correct your order before concluding the contract, if we have not sent you a printable copy of your contract after your purchase, or if we have omitted any information required by law or if you notice, upon receiving your credit card statement, that we have not disclosed the required information.

You can cancel the contract at any time before we have fulfilled our main obligation to deliver the goods ordered within 30 days from the date indicated in the contractual documents, namely the contract, your order, or your invoice.

We are presumed to have fulfilled our main obligation when we or our carrier attempt to deliver your order on the date specified in the contract, on a different date that you have agreed upon in writing, or on the date indicated in a notice we may send you in a reasonable timeframe due to a delay in delivering your order caused by reasons within or beyond our control, or due to your actions or negligence on your part.

When circumstances justify it and if it is your intention, you must provide us with a written notice of cancellation. The contract will then be resolved upon receipt of this notice. We will take the necessary steps to issue a refund upon receiving the goods in the condition in which you received them. We will cover or reimburse you for reasonable delivery costs.

If for any reason you do not receive our refund, the law allows you to request a chargeback from your credit card issuer for all amounts paid under the contract, as well as a refund for any fees charged to your account under the contract.

Station D takes all necessary security measures to ensure the protection of personal information collected, used, and stored. Station D strives to ensure the confidentiality of your personal information during its transit on the Internet to our website, using SSL (Secure Sockets Layer) protocol, which encrypts the information you enter. For example, Station D may only use the last four digits of your credit card number during order confirmation but will obviously transmit the full number to your credit card issuer when making the payment. You must protect your password and not disclose it to anyone. You must protect your computer or smartphone from unauthorized access. If you use a shared computer, make sure to properly end the session once your transaction is completed and ensure that you have deleted confidential information, such as your credit card number, expiration date, and CVV code. You can find in your browser’s online help and on the internet ways to delete this data appropriate for your version of the browser. Antivirus software that provides this functionality is also available.

The information you provide must be up to date and accurate when you provide it. By doing so, you consent to us using it for managing your purchase, making decisions regarding your order, and for accounting purposes. Station D will ensure the destruction of this information as soon as it is no longer necessary for managing your file or when its retention is no longer required under tax laws or other applicable laws. We will not use your data for personal purposes or for any purpose other than your purchase. We will not disclose it to anyone not employed by us without your consent or unless we are legally required to do so by law or a court decision. However, please note that you will be required to provide personal information, or we will also need to do so to process your payment or to deliver the products purchased. All of this information is necessary. Its collection, use, and sharing by individuals employed by a credit card issuer, online payment services, delivery services, or third parties performing similar tasks are necessary to complete your purchase and allow us to fulfill our obligations. By completing your order and accepting the terms of sale, you agree to the collection of your personal information, its use, sharing, archiving, and destruction according to the terms of third-party providers.

You may contact us at any time to verify the personal information you have provided us and that we are keeping, and to correct or update it if it is incomplete, inaccurate, outdated, replaced, incorrect, or non-existent. Station D takes reasonable measures to protect your data. However, we cannot be assured at all times of preventing unauthorized intrusions or access by a malicious person. Absolute protection against malware and malicious persons is impossible and beyond our control. Therefore, the employees and officers of Station D cannot be held responsible for such acts.

Station D cannot guarantee that our website, software, and the Internet network will always be free from defects, bugs, anomalies, deficiencies, or other issues.

Confidentiality

Station D does not provide your data to marketing companies or others, for payment or for free. We only use your data to process your purchase and respond to your requests, and in some cases, to improve our service.

We use cookies to obtain certain information from your computer. These small "text" files are temporarily placed on your computer when you visit certain web pages. They are safe and non-intrusive and can only extract information from your computer that is necessary or useful for assessing traffic and volume on our website, improving our service. They are particularly useful, for example, to recognize you when you visit our website again.

We have entrusted part of the transactional site to Shopify, which, in turn, works with third parties for payment processing, delivery, order processing, performance analysis, accounting management, marketing, and online placement. These may include financial institutions issuing credit cards, online payment service providers, or delivery services like Canada Post. As a result, these companies have access to your personal information.
